2. Definitions

  • “Platform” refers to messaging platforms including WhatsApp Official API, RCS, SMS gateways, and related communication systems.
  • “Meta” refers to Meta Platforms, Inc., including WhatsApp.
  • “RCS” refers to Rich Communication Services protocol used via telecom operators or Google.
  • “Content” means text, graphics, media, campaigns, advertisements, and communications created or distributed.
  • “Applicable Law” means laws in force within India.

3. Acceptance of Terms

By using our Services, you confirm that:

  • You have read, understood, and accepted these Terms.
  • You are legally competent to enter into binding agreements under Indian Contract Act, 1872.
  • If acting on behalf of an organization, you have authority to bind such organization.

Continued use constitutes ongoing acceptance of any updates made to these Terms.

4. Description of Services

SHREE MEDIA & ADVERTISING provides:

  • WhatsApp Official API messaging services
  • RCS Business Messaging

  • Communication automation solutions

We do not guarantee specific marketing results, reach, conversion rate, or revenue outcomes unless explicitly agreed in writing.

5. Eligibility

You must:

  • Be at least 18 years old.
  • Be legally authorized to represent your business.
  • Provide accurate and truthful information.
  • Not be prohibited under Indian law from using digital messaging services.

We reserve the right to refuse service to any user violating legal or compliance standards.

6. Account Registration

Where required:

  • Clients must provide accurate business details.
  • KYC or business verification documents may be requested.
  • Login credentials must be kept confidential.
  • Clients are responsible for all activities under their account.

SHREE MEDIA & ADVERTISING reserves the right to suspend accounts providing false information.

7. User Responsibilities

You agree:

  • To obtain proper user consent before sending promotional messages.
  • Not to send spam, abusive, misleading, unlawful, or restricted content.
  • To comply with Meta Business Policy, WhatsApp Commerce Policy, and TRAI regulations.
  • Not to promote prohibited categories (gambling, adult content, illegal products, etc.).

You are solely responsible for message content submitted for distribution.

8. Payment & Billing Terms

  • All services are chargeable as per agreed proposal or quotation.
  • Payments must be made in advance unless otherwise agreed.
  • Delayed payments may result in service suspension.
  • Taxes (GST or other applicable taxes) shall be charged as per Indian tax laws.
  • Payments once made are non-refundable unless explicitly agreed.

9. Subscription Renewal & Termination

If Services are subscription-based:

  • Subscriptions may auto-renew unless cancelled prior to renewal date.
  • Clients may request cancellation via written notice.
  • No refund will be issued for partial usage periods.
  • We reserve the right to terminate services for policy violations or non-payment.

10. Use of WhatsApp Official API & RCS

When using WhatsApp or RCS Services:

  • Client must obtain opt-in consent from recipients.
  • Templates must comply with Meta guidelines.
  • Promotional messages must follow approved template categories.
  • Messaging frequency must not violate anti-spam rules.
  • Meta or telecom operators may independently suspend numbers for violations.

SHREE MEDIA & ADVERTISING is not liable for platform-level restrictions imposed by Meta or telecom providers.

11. Message Delivery & Compliance Policy

We do not guarantee:

  • 100% message delivery.
  • Platform uptime.
  • Approval of templates.

Message delivery depends on:

  • Recipient device status.
  • Telecom operator policies.
  • Meta approval systems.
  • Internet connectivity.

Clients agree to comply with:

  • IT Act 2000
  • TRAI Regulations
  • Meta Business Policies
  • Google RCS Business Messaging policies

12. Intellectual Property Rights

All original creatives, branding material, campaign strategies, and system architecture developed by SHREE MEDIA & ADVERTISING remain our intellectual property unless ownership transfer is agreed in writing.

Clients retain ownership of their brand logos, trademarks, and proprietary materials provided to us.

Unauthorized reproduction of our proprietary materials is strictly prohibited.

13. Confidentiality

Both parties agree:

  • To maintain confidentiality of sensitive business information.
  • Not to disclose client data, pricing models, or campaign strategies.
  • To protect login credentials and API access details.

Confidentiality obligations survive termination of services.

14. Disclaimer of Warranties

Services are provided on “as-is” and “as-available” basis.

We disclaim:

  • Implied warranties of merchantability.
  • Fitness for particular purpose.
  • Guaranteed business growth.
  • Guaranteed regulatory approval of campaigns.

15. Limitation of Liability

To the maximum extent permitted under Indian law:

SHREE MEDIA & ADVERTISING shall not be liable for:

  • Indirect or consequential damages.
  • Loss of profit, business, or reputation.
  • Suspension by Meta or telecom operators.
  • Third-party platform downtime.

Total liability shall not exceed the amount paid by the client in the preceding 3 months.

16. Indemnification

Clients agree to indemnify and hold harmless SHREE MEDIA & ADVERTISING against:

  • Claims arising from unlawful message content.
  • Violations of Meta or telecom policies.
  • Consumer complaints.
  • Regulatory penalties due to client-provided content.

17. Governing Law (India)

These Terms shall be governed by and interpreted under the laws of India.

Any disputes shall fall under the jurisdiction of competent courts in Maharashtra, India.

18. Changes to Terms

We reserve the right to modify these Terms at any time.

Updated Terms will be published on our official website and shall become effective upon publication.

Continued use after updates constitutes acceptance.
